The following terms and conditions apply to all web site development and hosting services offered by Goto Online Ltd. By accepting a quote either verbally or in writing or ordering a product from Goto Online Ltd you are agreeing to the following terms and conditions.

General Terms

1. All prices exclude VAT at 17.5% unless otherwise stated.
2. Quotes are valid for 30 days.
3. It is the client’s responsibility to ensure that any web site is lawful, does not infringe any copyright or any other laws. It is also the client’s responsibility to carry out any market research as to the viability and profitability of any project before accepting any quote.
4. We reserve the right to refuse to construct a web site that we may judge as unfit due to content or otherwise. This includes, but is not limited by, sites containing adult oriented material such as pornography, sites which promote hatred towards persons belonging to any ethnic group, religion or sexual orientation and sites which infringe copyright or are contrary to UK laws.
5. The acceptance of a commission quote either verbally or in writing shall be deemed as a contractual agreement between the client and Goto Online Ltd.
6. At project acceptance Goto Online Ltd can provide an estimated completion date, however we cannot guarantee this date as a final completion date.
7. A deposit of no less than 50% of the total quoted price must be provided before project commencement.
8. Once a commission has commenced it will be completed using the information, data, text and images provided at project commencement or during the design phase. Once the design process has been completed the project will be presented to the client who may make any changes to design and content he wishes.
9. Goto Online Ltd may at their discretion publish draft versions of the web site or other design material to a sub section of their domain name Goto Online Ltd or other domain names which they own in order for the client to review the project. At this stage all designs are the property of Goto Online Ltd and any copying, distribution, etc. is expressly forbidden without the prior written consent of Goto Online Ltd, such consent to be signed by a Company Director of Goto Online Ltd.
10. Goto Online Ltd reserves the right to alter our prices at any time without prior notice. If a quote at an original price has been made it will be valid for 30 days and subsequently during the life of the current commission, however additional work may be charged for using the new pricing structure.
11. A client’s site will be hosted once approval of the design and content is given however we reserve the right to remove the site at any time until the invoice is paid in full.
12. When a quote has been accepted and a developed project approved by the client the invoice must be paid within 30 days regardless of the amount of content that the client still has to provide to Goto Online Ltd.
13. Content or features listed in the original quote but not provided during the development phase by the client will be added at any time in the future, however invoices must be paid in full including sections which the client still has to provide content for.
14. Goto Online Ltd produce projects where every effort is made to display the pages acceptably on most popular browsers currently available, however we cannot accept responsibility for pages which don’t display properly on versions of browsers released after the project is completed.
15. The client is ultimately responsible for checking the correctness of the site before they give Goto Online Ltd the go ahead to make the site publicly available.
16. When a client agrees that a site can be made publicly available they are agreeing that the design and development of the site has satisfied all their requirements.

Copyright

17. A client may request a digital copy of their web site to be supplied by email or on CD or DVD. This copy will contain a copy of the site as being used in a live environment. Goto Online Ltd accepts no responsibility for the operation of this copy on any other server environment other than those provided and configured by Goto Online Ltd. Goto Online Ltd reserve the right to charge an administration charge for the production of a digital copy to cover the time and media costs involved in producing the copy.
18. Goto Online Ltd reserve the right to encrypt all or part of the web site’s source code to protect sensitive, copyrighted or licensed source code.
19. All material, both text and images supplied by the client and used in the construction of the client's web site, will remain the client's property. All such material will be assumed to be the property of the client and free to use without fear of breach of copyright laws. Goto Online Ltd shall use such images and text as are provided by the client on the assumption that the client has all necessary legal permissions to use them. If this is not the case Goto Online Ltd shall in no way be liable and the client will indemnify Goto Online Ltd against any claims and the costs involved in dealing with any claim.
20. The copyright of any material contained in this website, design, text and graphics, and their selection and arrangement will remain the property of Goto Online Ltd until such time as payment has been made in full whereupon Goto Online Ltd grants the client a non-exclusive, non-transferable license to use the design, text and graphics on the domain the web site was published to. Goto Online permits the use of screen shots, graphics or logos as part of the client’s marketing strategy.
21. Goto Online Ltd retain the copyright for all software compilations, underlying source code, software and all other materials on this website owned by or licensed to us or our content and technology providers.
22. Goto Online Ltd own the copyright of any work produced, and can therefore reproduce any work for promotional or advertising purposes.
23. If the client is unable to provide text copy in a digital format acceptable to Goto Online Ltd, Goto Online Ltd retain the right to charge for the services of a copy writer over and above the contract value. Such charges will be made at the cost incurred by Goto Online Ltd plus 15% to cover administration. Goto Online Ltd will advise the client before employing such services and the client shall have the opportunity to provide the text copy in a format acceptable to Goto Online Ltd.
24. The ongoing maintenance or updating of the web site is excluded from this agreement. If Goto Online Ltd are required to maintain or update the web site then this will be covered by a supplemental agreement at an agreed rate of £45 per hour
25. Goto Online Ltd shall have the right to tag the project so as to make it clear that it is they who designed it. Where possible such tags will take the form of a hyperlink which links back to the Goto Online Ltd web site.
26. Goto Online Ltd may actively promote or publicise any project that they produce for their own marketing or sales activities.
27. Any reference to dates for delivery/completion are estimates only and failure by Goto Online Ltd to meet any dates will not create any liability.
28. This agreement shall be governed by English law and the client agrees to submit to the non-exclusive jurisdiction of the courts of England and Wales.

Payment

29. By agreeing to these terms and conditions your statutory rights are not affected.
30. Our payment terms are 30 days, payment must be made by BACS, cheque, credit card, debit card or cash and delivered to our premises of 9 Branson Court, Plympton, Plymouth, Devon, PL7 2WU unless otherwise agreed.
31. Any payment returned by the bank will incur a £15 administration charge. This will be invoiced and will be added to the total outstanding debt owed by the customer.
32. Late payments will be charged interest at our rate of 8.5%.

Hosting, support and updating service agreements

33. Goto Online Ltd offer annually renewable packages of hosting and updating service agreements which can be purchased as part of a package or separately. These include hosting, content updating and search engine submissions.
34. These packages are quoted for either on application or at time of quoting for a full project.
35. Hosting, support and updating services are annually renewable; package start dates are based on when the package or domain name is first registered and not when the web project goes live.
36. Our content update service refers to any content, photographs or text which replaces any current content. It does not extend to producing new sections or pages unless otherwise noted.
37. Quoted prices generally stay the same year on year but can change depending on the amount of content updated, additional sections added, and bandwidth or web space used.
38. Monthly where we submit clients sites to search engines we cannot guarantee inclusion or accept responsibility or liability if any search engine, online directory or search site, submitted to as part of a web site promotion commission, chooses not to list a client's web site.
39. Hosting support and updating packages are renewed annually, invoices are provided approximately one month before the renewal date, however or usual payment terms apply from the invoice date.
40. Clients wishing to cancel a hosting, support or updating package must inform us before the invoice date otherwise full annual payment will be required.
41. No partial refunds will be given for hosting, servicing or updating packages cancelled during the current agreements time period.
42. While we and our hosting partners take many steps to ensure that clients sites are always backed-up it is the client’s responsibility to inform us when they make a change to the site so that we can then backup that specific part. For example databases from database driven sites.

Visits to clients premises

43. We will visit any premises in Devon & Cornwall, UK free of charge for a no obligation consultation. Any further visit may be charged at our mileage rate of 40 pence per mile return at our discretion.
44. Any additional meeting time of the web development project will be included in the initial quoted price, the client will not be charged any extra. Any time spent on any other job, for example computer setup / repair may be charged at our hourly rate of £45 per hour at out discretion.

By agreeing to these terms and conditions your statutory rights are not affected.

Goto Online Ltd will reserve the right to alter any of the above terms and conditions at any time.
